Notice of an Early Annual General Meeting (AGM) PDF Print E-mail

To: Wintergreen Woods Water Utility (WWWU) Members
 
In the past, AGMs have been held in early to late April. This year the WWWU board will hold the AGM on 
March 4, 2010, roughly a month earlier than usual. It will be held again in the SnowBird Chalet at 7:00pm  The format will be the same as in previous years. 
 
The reason for the early meeting date is primarily due to the board having  received an additional (second) proposal from the County of Rockyview  this last December  (a brief preliminary presentation was made by County representatives at the regular December 17, 2009 WWWU board meeting). This second proposal (concerning  water  intake, water treatment and treated water distribution with assumption of a water license), is  more extensive and all encompassing than the first proposal (water intake and  water treatment only).   Acceptance of the second proposal would most likely lead to  dissolution of the WWWU. 
 
The current WWWU board received a mandate ("to enter into and sign an  agreement  on  behalf of the WWWU") from the members attending the last AGM. That mandate was  only to proceed with evaluation and execution/rejection of an  agreement based on  the  FIRST proposal, the mandate did not allow for, nor anticipate, any need for comparative evaluation and recommendation of a SECOND proposal. 
 
Evaluation requires expenditure of membership funds. There was no approval given at the last AGM to spend money beyond that which would be required to evaluate the first proposal only. Note that just the legal review of  a proposal  agreement  costs roughly $5000.00. 
 
 The board is not authorized to spend significant funds, which would be required in order to conduct a thorough First/Second comparative review. 
 
Currently, the board is waiting for more detailed information from  the County on  the second proposal. The County intends to present a draft 'Letter of Intent'  for  the WWWU's consideration. 
 
The current board has decided it is better to hold an AGM a month earlier to  elect new officers and to form a new board, than to begin an evaluation it has no mandate to do so. The board also feels that entering into the first agreement without appropriate review of the second proposal maybe detrimental to the WWWU's best interest overall. 
 
An early AGM will give a new board (appropriately mandated) roughly an additional month head start to do an appropriate review of the two proposals and execute an agreement in a timely manner. The County has indicated that in some aspects of their proposals, time may be of the essence. 
 
 The current board has also seen the loss of two of its members due to  re-locations and elections are necessary to replenish board   membership to ensure  a quorum at meetings of such importance. 
 
Please make an effort to attend this AGM as decisions based on the broadest membership representation are always to be encouraged. 
 
There will no doubt be more information provided about the second proposal  received from the County before the AGM, however IT IS TO BE NOTED that the  current board is not asking for the early AGM to force a decision on either  proposal. The intent of an early AGM is simply to ensure that a new and completely staffed board is elected/in place as soon as practical and  that the  new board is given both an appropriate mandate and as much time as practical to gather information and to thoroughly evaluate both proposals before executing an agreement on behalf of the WWWU.
